Procurement Disclaimer

BuildCore Global Supply™ acts as a procurement facilitator, sourcing agent, and advisor on behalf of qualified buyers. This disclaimer governs the scope and limits of that role.

1. Role of the Firm

The Firm sources, verifies, negotiates, contracts, expedites, and coordinates delivery on behalf of clients. The Firm does not manufacture, own, warehouse, retail, distribute, or take title to goods.

2. No Sale of Goods

Title, risk, and product warranties pass between the supplier and the client (or its nominated consignee) in accordance with the agreed Incoterms and underlying purchase contract. The Firm is not a party to that sale unless expressly stated in writing.

3. Supplier Performance

Product specifications, certifications, warranties, defects, recalls, and post-delivery performance remain the responsibility of the manufacturer or supplier.

4. Estimates & Forecasts

Pricing, lead times, freight rates, customs duties, currency rates, and delivery dates are estimates based on information available at the time of quotation and are subject to change.

5. Force Majeure

The Firm is not liable for delays or failures caused by events outside reasonable control, including but not limited to acts of God, war, civil unrest, government action, pandemics, sanctions, port closures, strikes, or failure of third-party carriers or suppliers.

6. Buyer Due Diligence

Notwithstanding any sourcing or verification work performed by the Firm, clients are responsible for their own independent due diligence appropriate to the value and criticality of the transaction.

7. Limitation of Liability

The Firm's liability for any procurement engagement is limited as set forth in the engagement agreement and the Terms of Use.
